TERMS AND CONDITIONS OF USE AND PARTICIPATION FOR KENYA PROPERTY EXPO

INTRODUCTION AND ACCEPTANCE OF TERMS

Purpose: This document ("Terms") governs the access and use of the virtual platform of the Kenya Property Expo (hereinafter "the Platform") and participation in the virtual event "Kenya Property Expo" (hereinafter "the Event") organized by Black Octopus Digital Ltd (hereinafter "the Organizer").
Acceptance: By registering, accessing, using the Platform, or participating in the Event, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform or participate in the Event.

DEFINITIONS
Organizer: Black Octopus Digital Ltd, with its registered office at Pintree Plaza, Nairobi, Kenya.
Platform: The virtual environment hosting the "Kenya Property Expo" Event, accessible via the website propexpo.co.ke.
Event: The virtual real estate expo "Kenya Property Expo" takes place during the period mentioned on the event page, allowing real estate sector players to present their offers and visitors to discover them in an interactive virtual environment.
Exhibitor: Any legal entity or natural person who has purchased an Exhibition Plan to showcase their properties or services on the Platform.
Visitor: Any natural person accessing the Platform to explore the Event and interact with Exhibitors.
Exhibition Plan: The participation offers for Exhibitors, defining the functionalities and services included for each level.
Virtual Booth: The virtual exhibition space assigned to an Exhibitor on the Platform, customized according to the chosen Exhibition Plan.
Content: Any text, image, video, PDF document, virtual tour, etc., submitted or displayed on the Platform by Exhibitors or Visitors.

REGISTRATION AND PARTICIPATION
Eligibility: The Event is open to real estate professionals and the general public. Exhibitors must be legally constituted and authorized to operate in the real estate or related sectors.
Registration Process:

Exhibitors: Must register via the dedicated form on propexpo.co.ke. They must select an Exhibition Plan, provide accurate company information, and proceed with payment. Registration is confirmed by email upon payment validation.

Visitors: Access to the Platform is free and does not require prior registration.
Accuracy of Information: Users agree to provide accurate, complete, and up-to-date information during registration. Any false or misleading information may result in suspension or termination of access.
Account Responsibility: Users are responsible for keeping their login credentials confidential and for all activity conducted under their account. Any unauthorized use or suspected security breach must be reported immediately to the Organizer.

EXHIBITOR OBLIGATIONS
Plan Selection and Payment: Exhibitors agree to select and fully pay for the Exhibition Plan that fits their needs. Booths will not be published until payment is received in full.
Content Provision: Exhibitors are responsible for submitting their content (text, images, videos, documents, property details) in the correct format and within the deadlines. Content must be submitted at least 10 business days before the Event start date. Accepted formats:

Images: JPG, PNG (min. resolution: 1200x800 pixels)

Videos: MP4 (max. 5 minutes / 500 MB)

Documents: PDF (max. 10 MB per file)

Virtual Tours: Compatible format to be coordinated with the Organizer
Intellectual Property of Content: Exhibitors must own or have rights to all submitted content. By submitting, they grant the Organizer a non-exclusive, global, royalty-free license to use, reproduce, adapt, and promote the content during and after the Event for promotional purposes.
Content Compliance: Content must comply with all applicable laws and must not be illegal, defamatory, obscene, harassing, or infringing. The Organizer reserves the right to remove any content deemed inappropriate without notice or compensation.
Conduct on the Platform: Exhibitors must maintain a professional and respectful tone in all interactions. Responses to Visitor inquiries should be prompt. Aggressive or misleading behavior may result in removal without refund.
Booth Design: Booths are designed by the Organizer according to the selected Plan. Exhibitors must approve the proposed design elements within 3 business days. Lack of response will be considered approval. A maximum of two (2) design revisions is included in each Plan.

PLATFORM USAGE
Access: The Platform is accessible via desktop, tablet, and smartphone with a stable internet connection. For optimal experience:

Internet speed of at least 5 Mbps

Use of modern browsers: Chrome, Firefox, Safari, or Edge

JavaScript and WebGL enabled
Acceptable Use: Users agree not to:

Disrupt Platform operation

Access unauthorized areas

Upload malicious software

Use bots, scrapers, or automated tools

Overload the network or bypass security

Collect data from other users without consent

Use the Platform for illegal or unauthorized purposes
Technical Support:
Technical support is available during the Event from Monday to Friday, 9:00 AM to 6:00 PM (East Africa Time), excluding public holidays.
Support is provided through the integrated chat or by email at info@propexpo.co.ke.
The average response time is 2 hours. Support is limited to platform functionality and does not include personal device troubleshooting.

PAYMENT AND REFUND POLICY (FOR EXHIBITORS)
Prices: The prices of the Exhibition Plans are those indicated on the Platform's pricing page at the time of registration. The Organizer reserves the right to modify prices at any time, but these modifications will not affect already confirmed orders.
Payment Terms:

Payment must be made in full at the time of registration.

Accepted payment methods are: credit card, bank transfer.

For bank transfer payments, the Virtual Booth will only be created after actual receipt of funds.

An invoice will be issued and sent by email after payment confirmation.
Refund Policy:

Cancellation more than 30 days before the Event: 50% refund of the amount paid.

Cancellation between 15 and 30 days before the Event: 25% refund of the amount paid.

Cancellation less than 15 days before the Event or after the Virtual Booth publication: no refund.

In case of Event cancellation by the Organizer, Exhibitors will be fully refunded.

In case of major technical problems rendering the Platform inaccessible for more than 50% of the scheduled Event duration, a partial refund may be considered.
VAT: All prices exclude VAT. The applicable VAT in Kenya (currently 16%) will be added to the total amount.

INTELLECTUAL PROPERTY
Platform Ownership: All intellectual property rights related to the Platform (software, design, Kenya Property Expo brand, etc.) belong to the Organizer. No intellectual property rights are transferred to users. Users are not authorized to copy, modify, distribute, sell, or rent any part or all of the Platform without the Organizer's prior written authorization.
Exhibitor Content License: Exhibitors retain ownership of their Content but grant the Organizer a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and distribute this Content as part of the Event and its promotion, including after the Event for promotional purposes. This license includes the right to create derivative works and to sublicense these rights to third parties as part of the Event's promotion.

PERSONAL DATA PROTECTION AND PRIVACY
Collection and Use: The Organizer collects and uses personal data in accordance with its Privacy Policy. This includes identification information, professional contact details, and browsing data on the Platform.
Privacy Policy: Please consult our complete Privacy Policy at https://propexpo.co.ke/privacy-policy to understand how we collect, use, and protect your personal data.
Data Sharing (for Exhibitors): Exhibitors will have access to data of Visitors who interact with their booth. This data may only be used within the framework of the commercial relationship initiated during the Event and in accordance with applicable personal data protection legislation.

LIMITATION OF LIABILITY
The Organizer strives to ensure the availability and proper functioning of the Platform but cannot guarantee a total absence of interruptions or errors. The Platform is provided "as is" and "as available."
The Organizer shall not be held liable for loss of profits, data, or indirect, special, incidental, consequential, or punitive damages resulting from the use or inability to use the Platform, even if the Organizer has been informed of the possibility of such damages.
The Organizer's liability is limited to the amount paid by the Exhibitor for the Exhibition Plan concerned. This limitation of liability applies to the fullest extent permitted by law.
The Organizer is not responsible for the content provided by Exhibitors or for transactions concluded between Exhibitors and Visitors following the Event.

TERMINATION
By User: Visitors may delete their account at any time by sending a request to info@propexpo.co.ke. Exhibitors may cancel their participation subject to the refund conditions mentioned in Article 6.
By Organizer: The Organizer may suspend or terminate an Exhibitor's or Visitor's access in case of non-compliance with these Terms, inappropriate behavior, or fraud, without prior notice or refund. The Organizer also reserves the right to refuse access to the Platform to any user, at its sole discretion.

MODIFICATIONS TO TERMS
The Organizer reserves the right to modify these Terms at any time. Modifications will take effect upon their publication on the Platform. Users are advised to consult this page regularly. Users will be informed of substantial modifications by email or by notification on the Platform. Continued use of the Platform after the publication of modifications constitutes acceptance of these modifications.

GOVERNING LAW AND DISPUTES
These Terms are governed by Kenyan law.
In the event of a dispute relating to the interpretation, execution, or validity of these Terms, the parties will endeavor to resolve it amicably. Failing an amicable agreement within thirty (30) days, any dispute arising from these Terms will be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.
